Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Korad.AI ("Korad," "we," "us," or "our"), including the website at korad.ai, the application at app.korad.ai, the API at api.korad.ai, and all related tools, documentation, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Korad.AI operates as an AI gateway and optimization platform. The Service accepts API requests formatted for the Anthropic Messages API and routes them to upstream large language model ("LLM") providers, including but not limited to Anthropic, OpenAI, Google (Gemini), DeepSeek, xAI, Alibaba (Qwen), and others. Before forwarding requests, Korad applies a multi-layer optimization pipeline designed to reduce token usage and cost.
Korad is a pass-through gateway. We do not generate LLM outputs ourselves. All model responses originate from the upstream provider selected by your request. Korad does not guarantee the accuracy, reliability, safety, or appropriateness of any output generated by upstream providers.
2. Eligibility
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Accounts and API Keys
To use the Service, you must create an account via our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials, API keys, and virtual keys. You agree to notify us immediately of any unauthorized use of your account.
You may create multiple API keys and virtual keys under your account or organization. Each key may be subject to individual rate limits, context caps, and spending limits as configured by you or your organization administrator. You are responsible for all activity that occurs under your API keys, regardless of who initiates the request.
4. Payment and Credits
The Service operates on a pre-paid credit model. You purchase credits in advance via Stripe, denominated in US dollars (1 credit = $0.01 USD). Credits are non-transferable and may only be used for API requests through the Service.
Credits do not expire. You are billed based on the optimized token count after our pipeline processes your request, at rates that correspond to the upstream provider pricing for the model used.
Refund Policy
You may request a full refund of unused credits within 24 hours of purchase by contacting [email protected]. After 24 hours, refund requests are evaluated on a case-by-case basis at our sole discretion. Credits that have already been consumed through API usage are not eligible for refund.
5. User Content and Zero Data Retention
"User Content" means all inputs (prompts, messages, files, and context) that you submit through the Service and all outputs (completions, responses) returned by upstream providers. You retain all rights, title, and interest in your User Content.
Korad enforces a Zero Data Retention ("ZDR") policy for User Content. We do not store, log, or persist the content of your prompts or model responses at any point in our pipeline. The only data we retain from API requests is non-content metadata necessary for billing and service operation:
- Token counts (input and output)
- Model identifier used
- Request latency and timestamps
- HTTP status codes and error categories
- API key identifier (not the key itself)
You are solely responsible for the legality, reliability, and appropriateness of your User Content. You must not submit content that violates any applicable law, infringes on third-party rights, or violates the acceptable use policies of upstream LLM providers.
6. Upstream Provider Terms
Your use of LLM models through the Service is also subject to the terms of service and acceptable use policies of the upstream provider that serves each model. Korad routes requests through intermediary services including OpenRouter and Vercel AI Gateway. You acknowledge and agree that:
- Korad does not control the behavior, availability, or output quality of upstream providers.
- Upstream providers may modify, rate-limit, or discontinue models at any time without notice to Korad or to you.
- You are responsible for reviewing and complying with the terms of each upstream provider whose models you access through the Service.
- Korad is not liable for any harm arising from outputs generated by upstream models, including inaccurate, harmful, or biased content.
7. Prohibited Conduct
You agree not to:
- Resell, sublicense, or redistribute access to the Service or API keys without our prior written consent.
- Use the Service to build a competing product or to benchmark the Service for the purpose of building a competing product.
- Scrape, crawl, or use automated means to extract data from the Service outside of the documented API.
- Attempt to bypass rate limits, credit limits, context caps, or other usage controls.
- Use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, or that violates the rights of others.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Reverse-engineer, decompile, or attempt to extract the source code or proprietary algorithms of the optimization pipeline.
- Share API keys publicly or fail to secure them in accordance with reasonable security practices.
We reserve the right to suspend or terminate your account immediately for any violation of this section, without prior notice and without refund.
8. Intellectual Property
Korad owns all rights, title, and interest in the Service, including the optimization pipeline, software, algorithms, user interface, documentation, and trademarks. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.
You retain all rights to your User Content as described in Section 5. You grant Korad a limited, non-exclusive, royalty-free license to process your User Content solely for the purpose of providing the Service (i.e., to optimize, route, and return API responses). This license terminates immediately when we finish processing each request, consistent with our Zero Data Retention policy.
9. Indemnification
You agree to indemnify, defend, and hold harmless Korad, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. KORAD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KORAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
KORAD DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR THE OUTPUTS OF UPSTREAM LLM PROVIDERS. MODEL OUTPUTS MAY BE INACCURATE, INCOMPLETE, BIASED, OR OTHERWISE OBJECTIONABLE. YOU USE MODEL OUTPUTS AT YOUR OWN RISK AND ARE SOLELY RESPONSIBLE FOR EVALUATING THEIR SUITABILITY FOR YOUR PURPOSES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KORAD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
KORAD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO KORAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
13. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the revised Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service.
14. Termination
You may terminate your account at any time by contacting [email protected]. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 5, 8, 9, 10, 11, and 12 survive termination.
15. General Provisions
These Terms constitute the entire agreement between you and Korad regarding the Service and supersede all prior agreements. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms without our prior written consent. Korad may assign these Terms without restriction.
